These Terms of Service (the “Terms”) govern your access to and use of Nxcart (the “Platform”), operated by Nxcart (“Nxcart”, “we”, “us”). By signing up, accessing, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. Account
To use the Platform you must create an account, provide accurate information, and keep your credentials secure. You are responsible for all activity on your account. You must be at least 18 years old or the legal age of majority in your jurisdiction.
2. The service
Nxcart provides a multi-tenant SaaS commerce platform — storefront, admin, checkout, AI features, and supporting services. The Platform is offered “as is” subject to availability. We continuously improve the Platform and may add, change, or remove features without notice; we'll communicate material changes when reasonable.
3. Fees and payment
- Plan fees and any usage-based charges are billed in INR through your chosen payment method.
- Subscription fees are non-refundable except as required by law or as expressly stated in our Refund Policy.
- Taxes (incl. GST) are added on top of plan fees where applicable.
- We may change pricing with at least 30 days' notice via email or in-app banner. New pricing applies from your next renewal.
- Failure to pay may result in suspension or termination of your account.
4. Your content
You retain all rights to the content you upload — product information, photos, copy, customer data, brand assets (“Your Content”). You grant Nxcart a worldwide, royalty-free license to host, store, transmit, display, and process Your Content for the sole purpose of operating the Platform on your behalf.
You are responsible for ensuring you have the right to use and distribute Your Content, including any third-party material.
5. AI-generated output
The Platform includes AI features that generate text (copy, descriptions, emails), pricing suggestions, and other outputs (“AI Output”). You are responsible for reviewing AI Output before publishing or relying on it. AI Output may be inaccurate, incomplete, or otherwise unsuitable; Nxcart makes no guarantee of its correctness or fitness for a particular purpose. You retain ownership of AI Output generated for your account.
6. Your tax and legal compliance
You are solely responsible for complying with all tax laws and other legal requirements that apply to your business and your sales — including obtaining GST registration where required, determining whether and when you must register, charging and collecting the correct taxes, issuing compliant invoices, and filing and paying your taxes to the relevant authorities. The Platform provides tools to assist (such as GST settings, tax calculation, and invoices), but these are aids only: you must verify their configuration and output for your situation. Nxcart does not provide tax, legal, or accounting advice, is not your tax agent, and is not responsible for any tax liability, penalty, or interest arising from your sales or your failure to register or comply.
7. Acceptable use
You agree not to use the Platform to:
- Sell goods or services prohibited by Indian law or the rules of supported payment providers (incl. Razorpay).
- Infringe intellectual-property rights or violate privacy laws.
- Send spam, malware, or attempt to disrupt the Platform.
- Reverse-engineer, scrape, or resell the Platform.
- Misrepresent your identity or impersonate another business.

8. Third-party services
The Platform integrates with third-party services (payments, shipping carriers, email providers). Your use of those services is governed by their own terms. We are not responsible for their availability or actions.
9. Cancellation & termination
Cancellation. You may cancel your subscription at any time from your admin. Cancellation stops the next renewal; your store remains on its plan until the end of the period you have paid for, and then becomes inactive — the storefront is no longer publicly reachable and cannot accept orders or payments, but you keep admin access and we retain your data. The same applies if a free trial ends without a subscription. Subscribing again reactivates the store.
Termination. You may close your account at any time. We may suspend or terminate your account if you breach these Terms or for legal reasons. On termination, you may request an export of your data for 30 days; after that, data may be deleted in accordance with our Privacy Policy.
10. Disclaimers
The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted, error-free, or secure service.
11. Limitation of liability
To the maximum extent permitted by law, Nxcart is not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility. Our total aggregate liability for any claim is limited to the fees you paid us in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold Nxcart harmless from any claim arising out of your use of the Platform, Your Content, or your violation of these Terms.
13. Governing law
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Mohali (SAS Nagar), Punjab.
14. Changes to these Terms
We may update these Terms occasionally. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance.
